Terms and Conditions
1. Acceptance, Eligibility, and Identity
1.1. Agreement and Eligibility. This Terms and Conditions Agreement (the “Agreement”) is a legally binding contract between Trinity Mann Umbrella Group Incorporated, a Delaware corporation (the “Corporation,” “we,” “us,” or “our”), and you, the user (“User” or “you”). By accessing the Site, you represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are under 18, you may only use the “Gaming Hub” portion of the site under the supervision of a parent or guardian.
1.2. Corporate Identity and Brands. The Corporation operates the Site trinitymannumbrellagroup.com and acts as a holding company for six distinct operating divisions: (1) Strategic Intelligence, (2) Gaming Hub, (3) The Lab, (4) The General Store (Retail), (5) Business Solutions, and (6) Regional Marketplace. All liability arising from these ventures resides solely with the Corporation.
1.3. Intellectual Property. All content, original articles, source code, and the stylized marks TRINITY MANN UMBRELLA GROUP, TRINITY MANN, DIGITAL GROUNDWORK, TMUG, YOUR ULTIMATE, ALL-IN-ONE DESTINATION FOR DISCOVERY AND SEAMLESS ACCESS TO QUALITY SOLUTIONS, and TRINITY MANN UMBRELLA GROUP INCORPORATED are the sole intellectual property of the Corporation and are protected by U.S. and international trademark and copyright laws.
2. Affiliate Relationship and Financial Disclaimers
2.1. Affiliate Model Disclosure. You acknowledge that the Corporation is solely an affiliate marketer and content publisher. We receive compensation (a commission or referral fee) when you click on links and subsequently make a purchase from our third-party partners. This relationship is a material connection and is explicitly disclosed.
2.2. Corporation’s Limited Role. The Corporation DOES NOT sell, manufacture, inventory, ship, or warranty any products or services linked through the Site. The final transaction occurs exclusively between you and the third-party merchant. The merchant is solely responsible for all sales, shipping, refunds, and product liability.
2.3. Service-Based & Financial Disclaimer (No Fiduciary Duty). The content provided by the Travel, Gaming Hub, Consulting, Lab, Protocols, and Business Solutions divisions is for general informational purposes only. The Corporation is not a lender, loan broker, financial institution, or investment advisor. We do not make credit decisions or guarantee that you will be approved for any loan or capital product. You acknowledge that any financial offers (including those from strategic lending partners) are subject to the third-party provider’s underwriting and terms. Your use of this Site does not create a fiduciary, attorney-client, or client-consultant relationship.
3. Content, Gaming, and Accuracy Waivers
3.1. Content Provided “AS IS.” All Content on the Site (Guides, Insights, Games, Lab etc.) is provided “AS IS” and without warranty of any kind. You acknowledge that we assume no responsibility for errors, omissions, or inaccuracies in the Content.
3.2. AI Content and Synthetic Media. The Corporation utilizes Generative Artificial Intelligence (AI) tools to assist in content creation, code generation, and image synthesis. While all content is reviewed by human editors, you acknowledge that portions of the text, images, and code on this Site may be machine-generated (“Synthetic Media”). The Corporation makes no warranty regarding the accuracy, originality, or copyright status of AI-generated output. You agree to verify any facts or code snippets independently before relying on them.
3.3. Gaming Hub and Virtual Rewards. You acknowledge that the Gaming Hub offers free, ad-supported games for entertainment purposes only. Virtual Currency/Points: Any “points,” “badges,” “coins,” or “experience” (XP) earned on the Site (via GamiPress or otherwise) are purely virtual, have no monetary value, and cannot be exchanged for real currency, goods, or services. The Corporation reserves the right to revoke, zero-out, or modify a user’s point balance at any time, for any reason, without notice or liability. Points are not property and do not constitute a prepaid balance.
4. Indemnification and Enhanced Liability Protection
4.1. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRINITY MANN UMBRELLA GROUP INCORPORATED BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST REVENUES, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE.
4.2. Indemnification. You agree to defend, indemnify, and hold harmless Trinity Mann Umbrella Group Incorporated, its officers, directors, and employees, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:
- Your use of the Site, including any data or content transmitted by you.
- Your purchase or use of any product or service obtained through an affiliate link on the Site.
- Your violation of any term of this Agreement or any third-party right.
5. User Conduct and Content Rights
5.1. Prohibited Use. You agree not to use the Site for any illegal purpose, including but not limited to: violating any third-party intellectual property rights; engaging in harassment, spamming, or the distribution of malicious software; using automated means to access, overload, or gather data from the Site without express written permission; probing, scanning, or testing the vulnerability of the Site; or attempting to interfere with the integrity, performance, or security features of the Site, or attempting to interfere with the Site’s security.
5.2. Site Security and Access Control. The Corporation reserves the right, but is not obligated, to monitor all use of the Site for the purpose of maintaining security, detecting unauthorized access, and preventing malicious activity. We reserve the right, in our sole discretion and without prior notice, to refuse service, restrict access, or block any IP address, user account, or domain that we believe, in our reasonable judgment, violates these Terms, attempts to overload our systems, or poses a threat to the security or integrity of the Site. This includes, but is not limited to, blocking excessive login attempts and known malicious actors.
5.3. User-Generated Content (UGC) License. If you submit comments, reviews, or any other content to the Site (UGC), you hereby grant the Corporation a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such UGC for any purpose, including marketing, without compensation to you. You acknowledge and agree that the Corporation has the right to remove, reject, or delete any UGC that violates these Terms, is identified as spam, or is deemed otherwise objectionable, in our sole discretion.
5.4. Copyright Infringement (DMCA). If you believe any content on the Site infringes your copyright, you agree to notify us immediately via the contact information provided in Section 10 with the required DMCA information.
6. Mandatory Dispute Resolution, Governing Law, and Venue
6.1. Governing Law. This Agreement and any disputes related to it shall be governed by and construed in accordance with the internal laws of the State of Delaware, without regard to its conflict of laws principles. You agree that Delaware law shall determine the scope of these Terms and the liability of the Corporation.
6.2. Venue and Jurisdiction. Notwithstanding the Governing Law above, you expressly agree that any arbitration, legal action, or proceeding arising out of or related to these Terms or your use of the Site shall be instituted and litigated exclusively in the federal or state courts located in Buncombe County, North Carolina. You hereby waive any objection to this venue based on “inconvenient forum” or lack of personal jurisdiction.
6.3. Mandatory Binding Arbitration. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration hearing shall take place in Buncombe County, North Carolina. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
6.4. Class Action Waiver. YOU AND THE CORPORATION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
6.5. Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed (deleted) from this Agreement. The remaining provisions of this Agreement shall remain in full force and effect.
7. Business Solutions and Consulting Disclaimer
7.1. No Professional Advice. The services provided under the “Business Solutions” division (including Retail Optimization) are for strategic purposes only. They do not constitute legal or certified financial planning advice. You agree to consult with your own certified professionals before making business decisions.
7.2. Third-Party Lending. You acknowledge that Trinity Mann Umbrella Group Inc. acts solely as a connector. Any mention of “Capital Access” refers to future referral relationships with independent third-party institutions. We do not guarantee loan approval or funding.
7.3. “Waitlist” and “In Dev” Status. You acknowledge that services marked as “Waitlist,” “In Development,” or “Alpha” (including the Vendor Marketplace) are not currently live. The Corporation makes no guarantee regarding the launch date, final feature set, or availability of these services.
8. Modifications and Termination
8.1. Changes to Terms. The Corporation reserves the right to modify these Terms at any time in our sole discretion. If we make material changes, we will notify you by updating the “Last Updated” date at the top of this Agreement. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.
8.2. Termination. We reserve the right to terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
9. General Provisions
9.1. Force Majeure. The Corporation shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials, or failures of Internet Service Providers (ISPs).
9.2. Entire Agreement. These Terms, together with the Privacy Policy and any other legal notices published by the Corporation on the Site, constitute the entire agreement between you and the Corporation concerning your use of the Site.
9.3. No Waiver. Failure by the Corporation to enforce any provision of these Terms will not be deemed a waiver of future enforcement of that or any other provision.
